TERMS AND CONDITIONS


Definitions 

In these Terms and Conditions of Business:

"Client"
refers to the person who has requested IIS to provide services.

"IIS"
means International Investment Services or any other member of the International Investment Services.

"Services"
means any company formation, management, documentary, trust or trustee services provided to the Client or his Company or a trust for or on behalf of the Client requested by the client.

"Trust" means any trust or settlement established for or on behalf of the client. 



Fees and Services

1. The Client agrees to pay the fees charged by IIS which fees include annually recurring amounts but,  IIS reserves the right to increase the level of fees payable. Any such increase will be notified to the Client in 30 days in advance.

2. The fees are set out on the basis of immediate or advance settlement by the Client. 

3. In the event that the Client fails to settle invoices addressed and forewarded to him by IIS within the period stated on the invoice then the Client authorizes IIS to deduct the fees from any account or monies under the control of IIS and belonging to the Client or the Company.

4. In the event that the Client no longer requires the Services provided by IIS - then within 30 days of receipt of the invoice for the succeeding year's Services the Client shall advise IIS accordingly. If the client fails to inform IIS with-in reasonable time then he/she shall be deemed to have accepted liability to pay for the Services for the succeeding year.

5. A termination fee is be payable by the client to IIS upon the Services no longer being required whether this be due to liquidation of a company or trust, cancellation of a company, transfer or sale of a company or trust or otherwise. The fee payable shall be US$250 in respect of each company. 



Directors

6. Where IIS is providing Nominee Directors and/or Any other office bearing service to or for the Company then:Ð

a. The Officers - at all times be willing to consider and entertain requests and suggestions from the Client but they will not be willing to act in any manner / circumstances which appears to them to be dishonest, illegal, incorrect or criminal activity.

b. IIS will arrange and ensure the resignation of the Officers they nominate upon written request from the Client in original.



Registered Office

7. Where IIS is providing registered office facilities to or for the Company then:

a. Reference shall NOT be made to that offices' address in any advertisement, promotion or public announcement without the specific written consent of IIS beforehand.

b. The facility is available on the basis - that the facility be revocable at will by IIS and the Client will upon request from IIS immediately transfer the registered office address to another address as stated in writing by the Client.

8. In the event that IIS changes offices / addresses then IIS undertakes to give the Client 60 days notice of any such move but it will not accept responsibility for any costs incurred by the Client as a result of the change.



Other Provisions

9. To ensure that IIS may at all times be able to contact the Client, the Client hereby agrees to inform IIS immediately upon changing his business address or residential address or telephone or fax number.

10. All correspondence in relation to the administration of the Company shall be deemed to have been properly communicated to the Client, including sending of the annual renewal notice and yearly invoice, if sent to the address notified to IIS by the Client in accordance with these Conditions of Business and all such communications shall be deemed to have been properly received by the Client seven (7) days after posting such communication to the Client. It shall not be necessary for IIS to provide proof of postage.

11. IIS shall not be held liable for any failure to comply wholly or in part with any instructions by the Client and shall not be responsible for non receipt of instructions. 

12. On request, the Client hereby agrees to provide IIS with whatever information IIS may require about the background of the Client and/or the dealings, activities and the business of the Company.

13. Where IIS receives mail, whether by the postal service, courier or other means on behalf of a Client, IIS reserves the right to inspect at any given time - the contents of such mail packets on behalf of the Client.
